These General Terms and Conditions (GTC) apply to all contracts between Junus Ergin, Ottobrunner Str. 102, 81737 Munich, Germany (hereinafter “Provider”) and the customer regarding the use of the software-as-a-service platform “moderatezy” (hereinafter “Service”).
Deviating terms and conditions of the customer shall not apply, even if the Provider does not separately object to them.
The Provider makes available to the customer a web-based platform for the moderation of social media comments. The platform includes:
The exact scope of services depends on the plan chosen by the customer (Starter, Pro, or Business).
The contract is formed upon registration of the customer on the platform and confirmation by email. The customer may test the Service free of charge for 14 days. After the trial period expires, the selection of a paid plan is required; otherwise, access will be suspended.
The currently applicable prices are available on the website under “Pricing”. All prices are stated in euros and include the applicable value-added tax.
Payment is processed through the payment service provider Stripe. The customer may pay by credit card, SEPA direct debit, or other payment methods offered by Stripe.
For monthly billing, the amount is due at the beginning of each billing period. For annual billing, the annual amount is charged in advance.
The contract is concluded for an indefinite period and may be terminated by either party at the end of the respective billing period.
Termination may be made at any time via the account settings or by email to info@moderatezy.com. Amounts already paid for the current billing period will not be refunded.
The right to extraordinary termination for good cause remains unaffected.
The Provider aims for a service availability of 99.5% on an annual average. Excluded from this are scheduled maintenance work, which will be announced in advance where possible, as well as disruptions beyond the Provider’s control (force majeure, third-party service disruptions).
The Provider shall be liable without limitation in cases of intent and gross negligence, as well as for damages arising from injury to life, body, or health.
In cases of slight negligence, the Provider shall only be liable for breaches of material contractual obligations (cardinal obligations), limited to the foreseeable, contract-typical damage. In such cases, liability is limited to the amount the customer has paid for the Service in the preceding 12 months.
The Provider shall not be liable for the accuracy of AI-generated recommendations. Automatic moderation is performed at the customer’s own responsibility.
By connecting a social media account and activating automatic moderation (Autopilot), the customer transfers responsibility for the execution of moderation actions (hiding, deleting comments) to the platform. The customer acknowledges that:
By using the automatic moderation features, the customer confirms that they understand the risks and bear sole responsibility for the consequences of moderation actions.
The Provider processes personal data in accordance with its Privacy Policy and the provisions of the GDPR. Details can be found in our Privacy Policy.
The Provider reserves the right to amend these GTC with a notice period of at least 30 days. Changes will be communicated to the customer by email. If the customer does not object within 30 days of receiving the notification, the amended GTC shall be deemed accepted.
The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Munich, insofar as the customer is a merchant, a legal entity under public law, or a special fund under public law.
Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
